TERMS AND CONDITIONS OF DIGITAL MARKETING SERVICES

These terms and conditions (the “Agreement”) set out the terms under which Digital Search Academy Ltd, trading as Ajay Dhunna Digital (the “Company”) provides digital marketing services to the client (the “Client”). By engaging the Company to provide digital marketing services, the Client agrees to be bound by the terms and conditions set out below.

  1. Services The Company agrees to provide the digital marketing services as described in the Agreement. The Client acknowledges that the Company may use subcontractors to perform the services.

  2. Hours and Fees The Client agrees to pay the Company for the hours distributed within a 30-day rolling period as set out in the Agreement. Unless otherwise stated, the Company will allocate 8 hours per month within its Google Ads management service. The Client acknowledges that the Company may choose how to utilize the hours, which may include researching, implementation, advising, meetings, and any other actions deemed necessary to perform the services.

  3. Professional Knowledge The Company is a professional and knowledgeable company that will advise the best strategies to use within its Google Ads campaigns. Although the Client may request strategies, the end decisions remain with the Company.

  4. Results The Company does not guarantee any results as it does not own Google Ads, although it will make its best effort to achieve results as fast as possible.

  5. Confidentiality The Company agrees to keep all information provided by the Client confidential and not disclose it to any third party without the Client’s prior written consent.

  6. Intellectual Property The Client acknowledges that all intellectual property rights in the digital marketing services provided by the Company are owned by the Company or its licensors.

  7. Indemnity The Client agrees to indemnify and hold harmless the Company and its officers, directors, employees and agents from and against any and all claims, damages, liabilities, costs and expenses arising out of or in connection with the Client’s use of the digital marketing services.

  8. Limitation of Liability The Company’s liability for any claim arising out of or in connection with the Agreement or the digital marketing services provided shall be limited to the total fees paid by the Client to the Company for the services provided in the 6 months preceding the claim.

  9. Termination Either party may terminate this Agreement at any time by providing written notice by email. The Client acknowledges that it must provide at least 30 days’ notice of termination.

  10. Governing Law and Jurisdiction This Agreement shall be governed by and construed in accordance with the laws of England and Wales. The parties agree to submit to the exclusive jurisdiction of the courts of England and Wales.

  11. Entire Agreement This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements, understandings or arrangements (whether oral or written) relating to the digital marketing services provided by the Company.

  12. Amendments The Company reserves the right to amend these terms and conditions from time to time. Any amendments will be notified to the Client in writing and will be deemed to be accepted by the Client if the Client continues to use the digital marketing services following receipt of the notification.

By engaging the Company to provide digital marketing services, the Client acknowledges that it has read, understood and agrees to be bound by these terms and conditions.
